We reserve the right to restrict, suspend, or terminate access to the website when we reasonably believe these Terms and Conditions have been violated.

4. Website Information

The content provided on this website is intended for general educational and informational purposes.

Although we make reasonable efforts to provide accurate and useful information, we do not guarantee that all website content will always be complete, current, accurate, or free from errors.

Information may be updated, corrected, removed, or changed at any time without prior notice.

Website content should not be considered a substitute for advice tailored to your organization, circumstances, goals, or needs.

5. Consulting and Coaching Relationship

Visiting this website, downloading a resource, subscribing to communications, or submitting an inquiry does not automatically create a consultant-client, coach-client, or other professional relationship with Sheyna James Consulting.

A professional relationship begins only when:

  • Sheyna James Consulting expressly agrees to provide services; and
  • Any required proposal, agreement, registration, payment, or onboarding process has been completed.

The scope of any consulting, coaching, training, or speaking engagement will be governed by the applicable written agreement or service description.

6. No Guarantee of Results

Sheyna James Consulting provides professional guidance, education, strategies, tools, recommendations, and support. However, individual and organizational results depend on many factors outside our control.

These factors may include:

  • Participation and implementation
  • Leadership decisions
  • Organizational culture
  • Employee engagement
  • Market conditions
  • Financial resources
  • Existing systems and processes
  • Timing
  • Personal circumstances
  • Third-party actions

We do not guarantee specific financial, professional, organizational, leadership, employment, performance, or personal outcomes.

Testimonials, case studies, examples, and success stories describe individual experiences. They are not promises or guarantees that every client or participant will achieve the same or similar results.

You remain responsible for your decisions, actions, implementation, and results.

7. Educational and Professional Disclaimer

The information, programs, coaching, consulting, training, and resources provided by Sheyna James Consulting are not intended to constitute:

  • Legal advice
  • Tax advice
  • Accounting advice
  • Investment or financial advice
  • Medical advice
  • Mental health treatment
  • Therapy
  • Crisis counseling
  • Employment-law advice

You should consult an appropriately licensed or qualified professional regarding matters requiring specialized advice.

Nothing on this website creates an attorney-client, physician-patient, therapist-client, accountant-client, or financial-advisor relationship.

8. Purchases and Payments

Prices for services, programs, courses, workshops, events, digital resources, or other offerings will be displayed on the applicable sales page, registration page, proposal, invoice, or written agreement.

By making a purchase, you agree to:

  • Provide accurate and complete billing information
  • Pay all charges associated with your purchase
  • Authorize the selected payment method to be charged
  • Pay any applicable taxes, fees, or charges disclosed at the time of purchase
  • Comply with any additional payment terms stated in your proposal, invoice, or service agreement

Payments may be processed through a third-party payment processor. We do not control and are not responsible for the independent privacy, security, or business practices of third-party payment providers.

We reserve the right to correct pricing errors and to cancel or refuse a transaction affected by an obvious pricing, technical, or administrative error.

9. All Sales Are Final

All purchases and payments made to Sheyna James Consulting are final and non-refundable unless otherwise expressly stated in a signed written agreement or required by applicable law.

This policy may apply to:

  • Consulting services
  • Coaching services
  • Training programs
  • Keynote speaking engagements
  • Workshops and seminars
  • Courses and masterclasses
  • Event registrations
  • Assessments
  • Digital products and downloads
  • Books and educational resources
  • Deposits and retainers
  • Packages and prepaid sessions
  • Memberships or subscriptions
  • Other products or professional services

Before completing a purchase, you are responsible for reviewing the service description, price, schedule, requirements, and these Terms and Conditions.

Failure to attend, participate in, complete, access, download, or use a purchased service or product does not create a right to a refund.

A customer’s change in schedule, availability, circumstances, preferences, staffing, leadership, funding, or business priorities does not create a right to a refund.

Nothing in this section limits any non-waivable rights or remedies available under applicable law.

10. Deposits and Retainers

Unless otherwise stated in a written agreement, deposits and retainers are:

  • Due by the stated payment deadline
  • Applied toward the applicable engagement
  • Non-refundable
  • Required to reserve dates, capacity, or project resources

An engagement date or service period is not guaranteed until the required deposit, retainer, or payment has been received and confirmed.

Failure to make a payment by its deadline may result in a delay, suspension, rescheduling, or cancellation of services.

11. Cancellations and Rescheduling

Client cancellation, postponement, or rescheduling requests are subject to the terms of the applicable service agreement, proposal, registration page, or event policy.

Unless otherwise agreed in writing:

  • Payments remain non-refundable
  • Rescheduling is not guaranteed
  • Rescheduling requests are subject to availability
  • Additional fees may apply when a date, event, session, or engagement must be changed
  • Missed appointments or sessions may be forfeited
  • Failure to attend a scheduled program or event does not create a refund or credit

Sheyna James Consulting may, at its discretion, offer a replacement date, service credit, or other accommodation. Providing an accommodation in one situation does not require us to provide the same accommodation in another situation.

If Sheyna James Consulting must cancel a service and cannot provide a reasonable replacement, rescheduled date, substitute service, or credit, any remedy will be determined based on the applicable written agreement and legal requirements.

12. Recurring Services and Subscriptions

When a service is offered on a recurring or subscription basis, the billing frequency, price, renewal terms, and cancellation method will be disclosed during registration or purchase.

By enrolling in a recurring service, you authorize the applicable payment method to be charged according to the stated billing schedule until the service is properly canceled.

Unless otherwise stated:

  • Cancellation applies to future billing periods
  • Cancellation does not create a refund for prior payments
  • Previously paid amounts remain non-refundable
  • Access may continue through the end of the paid billing period
  • You must cancel before the next billing date to avoid the next scheduled charge

You are responsible for maintaining accurate billing and payment information.

13. Chargebacks and Payment Disputes

You agree to contact Sheyna James Consulting before initiating a chargeback or payment dispute so that we have a reasonable opportunity to review and address the issue.

Initiating a chargeback does not cancel your contractual payment obligations.

We reserve the right to suspend access to services, programs, accounts, or materials while a payment dispute is under review.

We may provide transaction records, agreements, registration information, communications, access records, attendance records, and other relevant documentation to the payment processor or financial institution reviewing the dispute.

14. Digital Products and Online Programs

Digital products may include downloadable materials, videos, recordings, templates, assessments, workbooks, courses, masterclasses, or other electronic resources.

Unless otherwise stated, your purchase grants you a limited, personal, nonexclusive, nontransferable, and revocable license to use the materials for your own personal or internal professional development.

You may not:

  • Share login credentials
  • Provide unauthorized access to another person or organization
  • Copy or distribute course materials
  • Upload materials to a shared drive or public platform
  • Record protected sessions without permission
  • Resell, sublicense, or commercially exploit the materials
  • Use the materials to create a competing product, program, course, or service
  • Remove copyright, trademark, or ownership notices

Access periods may vary by product and will be described on the applicable sales or registration page when relevant.

We do not guarantee that digital products or online programs will remain available indefinitely.

15. Accounts and Passwords

Certain services may require you to create an account or use a password-protected platform.

You are responsible for:

  • Providing accurate account information
  • Keeping your login credentials confidential
  • Preventing unauthorized use of your account
  • Notifying us promptly of suspected unauthorized access
  • All activities conducted through your account

You may not share your account unless a written service description expressly permits multiple authorized users.

We may suspend or terminate an account that is used fraudulently, shared without authorization, or operated in violation of these Terms and Conditions.

16. Intellectual Property

Unless otherwise stated, all content and materials provided through this website or our services are owned by or licensed to Sheyna James Consulting.

Protected materials may include:

  • Templates
  • Training materials
  • Coaching resources
  • Downloadable files
  • Program names
  • Written and recorded content

These materials are protected by applicable copyright, trademark, intellectual-property, and unfair-competition laws.

No ownership rights are transferred to you through your use of the website or purchase of a product or service.

17. Trademarks and Proprietary Frameworks

The names, logos, slogans, program titles, course names, frameworks, and other brand identifiers associated with Sheyna James Consulting may be trademarks or proprietary intellectual property.

This includes the RAIR™ Leadership Framework and related materials, terminology, processes, presentations, training content, and resources.

You may not use these marks or proprietary materials in a manner that suggests endorsement, affiliation, certification, ownership, or authorization without prior written permission.

18. Client Materials and Confidentiality

During an engagement, a client may provide business information, internal documents, organizational data, or other materials.

The treatment of confidential information may be governed by a separate service agreement or confidentiality agreement.

You represent that you have the authority to provide any information or materials you submit and that doing so does not violate another person’s rights, confidentiality obligations, employment agreements, or applicable law.

You remain responsible for determining what information is appropriate to share during consulting, coaching, training, or group-program activities.

Unless confidentiality is expressly established in a written agreement, you should not submit highly sensitive, privileged, regulated, or proprietary information through general website forms or unsecured communications.

19. Group Programs and Participant Conduct

Courses, workshops, training sessions, coaching programs, and events may involve interaction with other participants.

You agree to:

  • Treat participants and facilitators respectfully
  • Protect confidential or personal information shared by others
  • Avoid harassment, discrimination, threats, or disruptive behavior
  • Follow program rules and facilitator instructions
  • Refrain from recording sessions without permission
  • Avoid using participant information for unsolicited sales or marketing

We may remove a participant whose behavior is disruptive, unsafe, abusive, unlawful, or inconsistent with the purpose of the program.

Removal for misconduct does not create a right to a refund.

Although participants may be asked to respect confidentiality, Sheyna James Consulting cannot guarantee that every participant will maintain the confidentiality of information shared in a group environment.

20. User Submissions

You may submit questions, comments, feedback, testimonials, survey responses, files, or other content through the website or our services.

You retain ownership of your original content.

By submitting general feedback or suggestions, you authorize Sheyna James Consulting to use that feedback to improve its services without an obligation to compensate you.

We will not publicly identify you in a testimonial, case study, or promotional statement without permission, except when your authorization is included in a separate release, agreement, submission form, or consent process.

You may not submit content that:

  • Violates another person’s rights
  • Contains unlawful, defamatory, threatening, or abusive material
  • Includes malicious software or harmful code
  • Misrepresents your identity or experience
  • Contains information you do not have permission to disclose

21. Third-Party Websites, Platforms, and Services

The website and our services may contain links to or rely on third-party websites, software, video platforms, payment processors, scheduling tools, learning-management systems, social-media platforms, or other external services.

These third parties operate independently and may have their own terms, privacy policies, availability, and security practices.

Sheyna James Consulting does not control and is not responsible for:

  • Third-party content
  • Platform availability
  • Security incidents involving third parties
  • Changes to third-party services
  • External transactions
  • Third-party representations
  • Losses caused by external platforms

Your use of a third-party platform is subject to that provider’s applicable terms and policies.

22. Communications

By contacting Sheyna James Consulting, registering for services, or providing your contact information, you consent to receive administrative and service-related communications concerning your inquiry, purchase, appointment, program, or engagement.

Marketing communications will be sent in accordance with your preferences and applicable consent requirements.

You may unsubscribe from promotional emails through the unsubscribe instructions contained in the message.

You may opt out of SMS messages by replying “STOP.” For SMS assistance, reply “HELP.”

Message and data rates may apply, and message frequency may vary.

Your use of SMS communications is also subject to the SMS Terms and Conditions included in or linked from our Privacy Policy.

23. Privacy

Your use of this website is also subject to the Sheyna James Consulting Privacy Policy.

The Privacy Policy explains how we collect, use, share, store, and protect personal information, including information associated with email and text-message communications.

By using the website, you acknowledge that you have had an opportunity to review the Privacy Policy.

24. Website Availability

We may modify, suspend, restrict, or discontinue any part of the website at any time.

We do not guarantee that the website or any online service will always be:

  • Available
  • Uninterrupted
  • Secure
  • Error-free
  • Compatible with every device or browser
  • Free from viruses or harmful components

We may perform maintenance, updates, security changes, or technical modifications without prior notice.

25. Disclaimer of Warranties

To the fullest extent permitted by law, this website and its content are provided on an “as is” and “as available” basis.

Sheyna James Consulting disclaims all warranties, express or implied, including implied warranties of:

  • Merchantability
  • Fitness for a particular purpose
  • Title
  • Non-infringement
  • Accuracy
  • Availability

We do not warrant that the website, services, programs, recommendations, or materials will meet every user’s or client’s expectations or produce a particular result.

Nothing in this section excludes warranties or rights that cannot legally be excluded.

26. Limitation of Liability

To the fullest extent permitted by applicable law, Sheyna James Consulting and its owner, employees, contractors, representatives, affiliates, and service providers will not be liable for indirect, incidental, special, exemplary, consequential, or punitive damages arising from or related to:

  • Your use of or inability to use the website

  • Loss of revenue, profit, opportunity, data, goodwill, or productivity
  • Third-party platforms or services
  • Unauthorized access or technical failures

To the fullest extent permitted by law, the total liability of Sheyna James Consulting for a claim related to a specific purchased product or service will not exceed the amount you paid to Sheyna James Consulting for that product or service during the six months immediately preceding the event giving rise to the claim.

For claims arising solely from free website access or free content, total liability will not exceed $100.

Some jurisdictions do not permit certain limitations of liability. In those jurisdictions, the limitations will apply only to the extent legally permitted.

27. Indemnification

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Sheyna James Consulting and its owner, employees, contractors, representatives, affiliates, and service providers from claims, liabilities, losses, damages, judgments, penalties, costs, and reasonable legal fees arising from:

  • Your unlawful or unauthorized use of the website

  • Your violation of another person’s rights
  • Information or materials you submit
  • Your misuse or unauthorized distribution of our intellectual property
  • Your conduct during a program, event, or service
  • Decisions or actions taken by you or your organization

This provision does not require you to indemnify a party for conduct for which indemnification cannot lawfully be required.

28. Force Majeure

Sheyna James Consulting will not be responsible for a delay, interruption, rescheduling, modification, or failure to perform caused by circumstances reasonably outside its control.

These circumstances may include:

  • Cyberattacks
  • Third-party platform failures
  • Venue closures
  • Transportation interruptions

When reasonably possible, we will attempt to provide notice and offer an appropriate alternative, rescheduled service, credit, or other remedy consistent with the applicable agreement.

29. Changes to These Terms

We may update these Terms and Conditions periodically to reflect changes in our services, business practices, technologies, or legal obligations.

Updated Terms and Conditions will be posted on this website with a revised “Last Updated” date.

Changes will apply prospectively from the effective date unless otherwise permitted by law and clearly communicated.

Your continued use of the website after updated Terms and Conditions become effective constitutes acceptance of the revised terms.

Material changes affecting an existing paid engagement will not override a separately signed agreement unless the parties agree in writing or the change is required by law.

30. Termination

We may suspend or terminate your access to the website, programs, materials, accounts, or services when:

  • You violate these Terms and Conditions
  • You fail to make a required payment
  • You misuse intellectual property
  • You engage in disruptive, abusive, fraudulent, or unlawful conduct
  • Continuing access creates a security, legal, or reputational risk
  • A service is discontinued

Provisions concerning payments, refunds, intellectual property, confidentiality, disclaimers, liability, indemnification, dispute resolution, and governing law will survive termination when their nature requires them to remain effective.

31. Informal Dispute Resolution

Before filing a legal claim relating to these Terms and Conditions, the website, or a purchased service, you agree to contact Sheyna James Consulting and make a good-faith effort to resolve the dispute informally.

Written notice should describe:

  • The nature of the dispute
  • The relevant transaction or service
  • The requested resolution
  • Your contact information

The parties will have 30 days from receipt of the notice to attempt to resolve the matter informally before either party initiates formal legal proceedings, unless immediate legal action is necessary to preserve rights or prevent harm.

32. Governing Law and Venue

These Terms and Conditions are governed by the laws of the State of California, without regard to conflict-of-law principles.

Subject to any applicable requirements that cannot legally be waived, legal proceedings arising from or related to these Terms and Conditions, the website, or services provided by Sheyna James Consulting must be brought in an appropriate state or federal court located in or serving Contra Costa County, California.

You consent to the jurisdiction and venue of those courts.

33. Severability

If any provision of these Terms and Conditions is found to be invalid, unlawful, or unenforceable, that provision will be interpreted or modified to the minimum extent necessary to make it enforceable.

If it cannot be modified, it will be severed, and the remaining provisions will continue in full force and effect.

34. No Waiver

A failure or delay by Sheyna James Consulting in enforcing a provision of these Terms and Conditions does not waive the right to enforce that provision or any other provision later.

A waiver is effective only when made expressly in writing.

35. Assignment

You may not transfer or assign your rights or obligations under these Terms and Conditions without prior written consent from Sheyna James Consulting.

Sheyna James Consulting may assign its rights and obligations as part of a business reorganization, transfer, merger, acquisition, or sale of assets, subject to applicable law.

36. Entire Agreement

These Terms and Conditions, together with the Privacy Policy and any applicable proposal, service agreement, statement of work, registration terms, invoice, or purchase terms, constitute the agreement between you and Sheyna James Consulting regarding your use of the website and applicable services.

A signed written agreement will control if it expressly conflicts with these general website Terms and Conditions.
